다음은 연방 양형가이드라인이 정하고 있는 컴플라이언스 프로그램의 7가지 기준의 내용을 차례로 검토해 보기로 하겠다.

기준과 절차의 책정
‘The organization must have established compliance standards and procedures to be followed by its employees and other agents that are reasonably capable of reducing the prospect of criminal conduct.’
조직은 위법행위의 발생가능성을 합리적으로 감소시킬수 있는 종업원 및 기타 에이전트를 대상으로 한 컴플라이언스 기준 및 절차를 구축하여야 한다.

총괄책임자의 임명
‘Specific individual(s) within high-level personal of the organization must have been assigned overall responsibility to oversee compliance with such standards and procedures.’
기준 및 절차가 준수되고 있음을 감독할 총괄책임자로 조직 내 고위직의 자를 임명하여야 한다.

적절한 권한위임
‘The organization must have used due care not delegate substantial discretionary authority to individuals whom the organization knew, or should have known through the exercise of due diligence, had a propensity to engage in illegal activities.’
조직은 위법행위를 범할 경향이 있다고 조직이 알거나 혹은 알아야 했을 자에게 중대한 재량권한을 위임하지 않도록 상당한 주의를 기울여야만 한다.

커뮤니케이션
‘The organization must have taken steps to communicate effectively its standards and procedures to all employees and other agents, e.g., by requiring participation in training programs or by disseminating publications that explain in a practical manner what is required.’
조직은 모든 종업원 및 기타 에이전트에 대해 기준 및 절차를 효과적으로 정보전달 할 수 있는 방법을 강구하여야 한다. 예를 들면 훈련 프로그램에 참가하도록 요구하거나 요구사항의 실천방법을 설명한 책자를 배포할 것 등이다.

모니터링, 감사 시스템 및 통보시스템의 구축
‘The organization must have taken reasonable steps to achieve compliance with its standards, e.g., by utilizing monitoring and auditing systems reasonably designed to detect criminal conduct by its employees and other agents and by having in place and publicizing a reporting system whereby employees and other agents could report criminal conduct by others within the organization without fear or retribution.’

조직은 자사 기준의 준수를 달성하기 위해 합리적인 수단을 강구하여야 한다. 예를 들면 종업원 및 다른 에이전트에 의해 위법행위를 발견할 수 있도록 합리적으로 설계된 모니터링 및 감사 시스템의 구축, 종업원 및 기타 에이전트가 조직 내의 다른 자의 위법행위를 보복이나 위협 없이 보고할 수 있는 시스템을 구축하고 주지하여야 한다.

징벌제도의 도입
‘The standards must have been consistently enforced through appropriate disciplinary mechanisms, including as appropriate, discipline of individuals responsible for the failure to detect an offense. Adequate discipline of individuals responsible for an offense is a necessary component of enforcement; however, the form of discipline that will be appropriate will be case specific.’

조직의 기준은 적절한 징벌장치를 통해 일관되게 준수되어야 한다. 징벌장치에는 위법행위를 발견할 수 없었던 것에 대해 개인의 책임을 포함한다. 위법행위에 대한 개인 책임의 적절한 징벌은 필요한 요소이다. 그러나 적절한 징벌내용은 사안별로 판단될 것이다.

적절한 대응과 재발방지
‘After an offense has been detected, the organization must have taken all reasonable steps to respond appropriate to the offense and to prevent further similar offenses-including any necessary modifications to its program to prevent and detect violations of law.’

위법행위가 발견된 후 조직은 당해 위법행위에 적절하게 대응하며, 위법행위가 발생하지 않도록 모든 합리적인 조치를 취하여야 한다. 또 위법행위를 방지 혹은 발견할 수 있는 프로그램에 대해 필요한 경우 개선하여야 한다.
